These Conditions of Sale apply to every purchase made in the online shop of ivs.it (the “Shop”). Please read them before placing an order: by placing an order you accept them. If you buy as a consumer, the rights granted to you by the Italian Consumer Code (Legislative Decree 206/2005) and by the law of your country of residence always apply, and nothing in these conditions limits them.

1. Seller

Interactive Video Systems S.r.l. – Via Cupa Ospedale 20, 80059 Torre del Greco (NA), Italy – VAT and Company Register no. IT06019021218 – REA NA-790381 – certified e-mail (PEC): ivssrl@pec.it – e-mail: sales@ivs.it – telephone +39-81-787.90.46.

2. Products

The Shop sells:

  • digital products: licences of ivsEdit, ivsCapture, ivsRecode and other IVS software, delivered by download and licence code. The use of the software is governed by the licence terms shown during installation and summarised on the License page;
  • physical products: USB licence dongles, hardware and accessories, delivered by courier.

The main features of each product are described on its page. Before buying we recommend that you try the free ivsEdit LE and run ivsEditBench to check that your computer meets the system requirements.

3. Prices and VAT

Prices are in euro. On the product pages they are shown excluding VAT; before you confirm the order, the checkout shows the VAT, the shipping costs and the total to pay, which is the final price. VAT is applied according to EU rules:

  • customers in Italy: Italian VAT;
  • private customers in other EU countries: VAT of the customer’s country (One-Stop-Shop scheme);
  • companies in other EU countries with a VAT number validated on the EU VIES system: no VAT is charged, reverse charge;
  • customers outside the EU: no VAT is charged. Any import duties and local taxes are paid by the customer.

Shipping costs for physical products are shown at checkout before the order is confirmed. Prices may change at any time, but the price of an order is the one shown when the order was placed.

4. How the contract is made

To buy you need a free account on the site. Add the products to the cart, go to the checkout, enter your details, check the summary and press “Place order”: this is an order with an obligation to pay. The contract is concluded when you receive the order confirmation by e-mail, which contains the summary of the order and a link to these conditions. You can see your orders at any time in “My orders”. The order is archived by IVS and remains accessible to you.

Before placing the order you can correct your data at any time by going back to the cart or to the checkout form. The contract is concluded in the language of the site you used (English, Italian or Spanish).

5. Payment

The payment methods available are shown at checkout. For bank transfer, the bank details and the payment reference (the order number) are shown on the order page and in the confirmation e-mail. The transfer must be made within the number of days indicated; if the payment does not arrive in time, IVS may cancel the order after informing you. Physical products are reserved for you only after the payment has been received. Card and PayPal payments, when available, are processed by the payment provider: IVS never sees or stores your card data.

6. Delivery

  • Digital products: after the payment has been received, the licence code and the download instructions are sent to the e-mail address of your account, normally within 2 working days.
  • Physical products: shipped by courier within 5 working days from the payment, to an address in the billing country. You will receive the tracking information by e-mail. If you are a consumer, the risk of loss or damage passes to you when you, or a person you indicate other than the carrier, take physical possession of the goods.

If a product is not available after the order, IVS will inform you and refund any amount already paid without undue delay.

7. Right of withdrawal (consumers)

If you are a consumer (a private individual buying for purposes outside your trade, business or profession), you have the right to withdraw from the contract within 14 days without giving any reason. The withdrawal period expires 14 days after:

  • the day of the conclusion of the contract, for digital products;
  • the day on which you, or a person you indicate other than the carrier, take physical possession of the goods, for physical products.

Digital content: loss of the right of withdrawal. For digital content not supplied on a tangible medium (download and licence code), at checkout you request its immediate supply and acknowledge that you lose the right of withdrawal once the supply has begun, as provided by art. 59(1)(o) of the Italian Consumer Code and art. 16(m) of Directive 2011/83/EU. The supply begins when the licence code or the download link is sent to you. Until then you can still withdraw from the order.

How to withdraw. Send us a clear statement of your decision before the period expires, by e-mail to sales@ivs.it or by PEC to ivssrl@pec.it, indicating the order number. You may use the model withdrawal form below, but it is not mandatory.

Effects of withdrawal. We will refund all payments received from you, including the standard delivery costs, without undue delay and in any event within 14 days from the day we are informed of your decision, using the same means of payment you used, unless you expressly agree otherwise; you will not incur any fees for the refund. For physical goods we may withhold the refund until we have received the goods back or you have supplied evidence of having sent them back, whichever is earlier. You must send the goods back to the seller’s address within 14 days from the day you communicated your withdrawal; the direct cost of returning the goods is paid by you. You are only liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics and functioning. If a licence was delivered together with a physical product (for example a licence with USB dongle), the withdrawal for the physical product does not include the licence if its supply has already begun.

8. Legal guarantee of conformity

Consumers benefit from the legal guarantee of conformity for goods and digital content provided by the Italian Consumer Code (articles 128 and following, and 135-octies and following): IVS is liable for any lack of conformity that becomes apparent within two years from delivery. In case of lack of conformity you may ask for the product to be brought into conformity (repair, replacement or a corrected version of the software) or, where the law allows it, for a price reduction or the termination of the contract. To use the guarantee, write to support@ivs.it describing the problem (see Report a Problem). For customers who are not consumers, the guarantees provided by the Italian Civil Code apply, within the limits allowed by law.

Software updates and premium support included with the licences are described on the product page and on the License page.

9. Liability

Within the limits allowed by law, IVS is not liable for indirect damages, loss of data, loss of profit or business interruption arising from the use of the products, and recommends keeping backup copies of media and projects. These limits do not apply to damages caused by wilful misconduct or gross negligence, to damages to the person, or to the rights that mandatory law grants to consumers.

10. Personal data

The data you provide are processed to execute the order, to issue the invoice and to fulfil legal obligations, as described in the Privacy & Cookie Policy.

11. Complaints, applicable law and disputes

For any complaint write to sales@ivs.it or by PEC to ivssrl@pec.it: we will answer as soon as possible. Consumers may also use the out-of-court dispute resolution procedures (ADR) provided by articles 141 and following of the Italian Consumer Code.

These conditions are governed by Italian law. For consumers, the mandatory rules of the law of their country of residence remain applicable, and the competent court is the court of the consumer’s place of residence or domicile. For customers who are not consumers, the court of the place where the seller has its registered office has exclusive jurisdiction.

12. Changes

IVS may update these conditions. Each order is governed by the conditions in force on the day it was placed, which are linked in the order confirmation e-mail.
